Terms of Service

 

1. Welcome to Teik.it

1.1 Teik.it manages a platform that allows:

(a) users to post and share rental items (such users are “Lenders”)

(b) Lenders to communicate and enter into agreements with other users to rent such items (such borrowers being “Users”);

(c) the User to pay the Lender for the rental of the items in question;

(d) for users to resolve disputes relating to rented items,

which we make available to you via our website at https://www.teik.it/ (together, the “Teik.it Service”).

We are Teik.it (i.e. “we”, “our”) and we operate under the name of “Teik it“. We are a non-profit association with no political aims and the aim of promoting sustainable development, a green economy, a circular economy and an inclusive economy. The association also aims to promote the environmental sustainability of the national and international Public Administration, public and private entities, SMEs and associations. Finally, the Association aims to promote education and instruction in matters of corporate sustainability and the green economy and to combat climate change. The association has its registered office in Via Alcide Pedretti 68, Rome and tax code 96600960585.

 

2. Important warnings about lending and rental of objects

2.1 Teik.it provides users with a platform that allows them to borrow and lend items. Furthermore, we do not regularly monitor the quality of items made available for rental by individuals or SMEs through the Teik.it service.

2.2 As such, the Lender (and not us) is responsible for ensuring that the items conform to any description provided, are fit for purpose and are safe to use. The platform also does not guarantee the authenticity of the items listed on the site. If you are a User, we will not be liable to you for any items rented through the Teik.it service.

2.3 If you are a Lender, you will also be responsible for complying with any obligations you may have under applicable law in relation to the items you provide for hire, including enforcing the rights of Users under applicable consumer law and making good any damage to the User or any other person caused by your items.

2.4 If you are a User, you will be responsible for any items rented through the Teik.it Service, including compensating the Lender for any loss or damage to such items. You will also be responsible for any damage caused to other people or property when using such items.

 

3. Your relationship with us

3.1 This document and all documents referenced herein (collectively, the “Terms of Service”) set forth the terms of your relationship with us. It is important that you read and understand these Terms of Service before using the Teik.it service.

3.2 Additional terms will apply depending on whether you are a User or a Lender. Please refer to paragraph 8 if you are a Lender, paragraph 9 if you are a User.

3.3 By accessing and using the Teik.it Service, you agree to these Terms of Service. If you do not agree to these Terms of Service, please do not access or use the Teik.it Service.

 

4. Information about you

4.1 Your privacy is important to us. You should read our Privacy Policy (https://www.teik.it/privacy-policy/) to understand how we collect, use and share information about you.

 

5. The Teik.it service

5.1 The Teik.it Service allows Providers to make rental items available and to communicate and enter into agreements with Users for the rental of such items and, at their own discretion, to promote and advertise the availability of such items with advertisements and on social media.

5.2 We may, from time to time, provide social features on the Teik.it Service, which allow you to send messages and share information about your use of the Teik.it Service with other users. Any use of these social features must comply with our Acceptable Use Policy, set forth below.

 

6. Setting up your account

6.1 To access the Teik.it Service, you must create an account using your email address (your “Account”). You will need to create a password for your Account: we encourage you to use “strong” passwords (passwords that use a combination of uppercase and lowercase letters, numbers and symbols) for your Account.

6.2 You must be at least 18 years old and able, in your country of residence, to enter into a legally binding agreement to use the Teik.it Service. If you are under 18, we may ask a parent or guardian to enter into the agreement on your behalf. In this case, we will enter into a legally binding agreement with the parent or guardian.

6.3 You are responsible for maintaining the confidentiality of your login information and for any activity that occurs under your Account. If you have any concerns that your account may have been misused, you should contact us immediately at info@teik.it to let us know.

 

7. Your right to use the Teik.it Service

7.1 The materials and content that make up the Teik.it Service belong to us or our third-party licensors and we give you permission to use these materials and content for the sole purpose of using the Teik.it Service in accordance with these Terms of Service.

7.2 Your right to use the Teik.it Service is personal to you and you are not authorized to grant this right to any other person. Your right to use the Teik.it Service does not prevent us from granting other people the right to use the Teik.it Service.

7.3 Unless otherwise permitted by these Terms of Service or as permitted by the functionality of the Teik.it Service, you agree:

(a) not to copy or attempt to copy any part of the Teik.it service;

(b) not to give or sell or otherwise make available any part of the Teik.it Service to anyone else;

(c) not to modify or attempt to modify in any way any part of the Teik.it service;

(d) not to search for or access the code of any part of the Teik.it Service that we have not expressly released publicly for general use.

7.4 You agree that all confidential information, copyright and other intellectual property rights in any part of the Teik.it service belong to us or to those who have licensed such rights to us.

7.5 You agree that you have no rights to any part of the Teik.it Service other than the right to use and access them in accordance with these Terms of Service.

 

8. Lender-specific terms

8.1 This paragraph 8 and the terms it contains apply to Lenders.

8.2 You may not lend through the Teik.it Service firearms, weapons, pornography, adult content, animals or any item that would be illegal to offer for rent in Italy, as well as in your country of residence or that of the User. We may remove any item offered for rent from the Teik.it Service if we believe that such items are illegal, immoral or damaging to our reputation.

8.3 You are responsible for ensuring that:

(a) You are the owner (or your delegate) of the item made available for rental through the Teik.it Service and that the use of such items by the User will not violate the rights of third parties;

(b) deliver any item rented through Teik.it to the User (or his delegate or to an approved collection point) respecting the specific agreements reached and agreed with the User;

(c) any description of the items made available for rental, and possibly advertised, through the Teik.it Service is accurate, not misleading and includes all information relating to the use of the item, including as specified below: 

      • (i) notification of any defects, restrictions or other requirements that may apply to the use of the item;

      • (ii) any instructions or notices which may be reasonably required to use the item safely

    •  

    (d) the articles made available on the Teik.it Service: 

        • (i) conform in all material respects to any image or description uploaded to the Teik.it Service;

        • (ii) are safe to use and not defective in any way that may cause danger or harm to the User or any third party, even if any reasonable instructions for proper use are not provided;

        • (iii) are fit for any purpose for which such items would normally be used or any purpose communicated by the User;

        • (iv) may be legally offered for hire.

      (e) any rental item is delivered to the User, alternatively it can be delivered to a person specified by the User at the time of the agreement or to a collection point agreed with Teik.it. Delivery can only occur after the transaction or transactions have been approved by the Teik.it verification process. You must deliver the item only to the person verified by Teik.it, a person specified by the User at the time of the agreement or to a collection point agreed with Teik.it.

      8.4 You are free to agree to any other terms on which you rent an item to a User, including the price you wish to charge the User for the rental of your item for the relevant rental period (the “Rental Fee”). At the same time, we will notify you of the appropriateness of the Rental Fee set. When listing items for rental on the Teik.it Service, you must ensure that the Rental Fee you advertise in your listing is the total price payable for the rental of your items, including any applicable taxes or delivery charges.

      8.5 Once you have agreed terms under which you lend an item to a User, you must not change those terms (including the price) unless you have a valid and justifiable reason to do so and the User accepts those modified terms.

      8.6 You may remove a listing or cancel a User's rental agreement for an item at any time up to 48 hours before the start of the relevant rental period. If you cancel a User's rental agreement for an item with less than 48 hours' notice before the start of the rental period, we will charge a cancellation fee equal to 30% of the relevant Rental Fee.

       

      9 User-Specific Terms

      9.1 This paragraph 9 and the terms it contains apply if you are a User.

      9.2 When you agree to rent an item with a Lender, the Lender grants you a limited right to use that item for the relevant rental period. This right is personal to you and you may not grant it to any other person.

      9.3 You are responsible for ensuring that:

      (a) you are legally authorized to use any item borrowed through the Teik.it Service;

      (b) you comply with all applicable laws when using the Item;

      (c) comply with all reasonable instructions given by the Lender for the safe use of the item;

      (d) return the item in the same condition as when you collected it from the Lender (except for any reasonable wear and tear).

      9.4 You are free to agree with the Lender how you will return the items you have rented to the Lender; however, you must ensure that you return all rented items to the Lender by the end of the rental period.

      9.5 You will be responsible for any loss or damage to the item you rented. Please see paragraph 18 for more information on how we handle disputes between User and Lender, including those in the event of damage, loss or theft of the item.

      9.6 You can cancel a request to borrow an item at any time before the request is accepted by the Lender or at any time up to 48 hours after the request is submitted, known as the “cooling off period”. There is no cooling off period if the request is within 48 hours of the start date. If you cancel before the request is accepted or within the cooling off period, you will receive a full refund.

      9.7 If you fail to return an item by the agreed deadline, you must contact the Lender and/or Teik.it to advise them as soon as you realise that you will miss the deadline. You must also book and pay for the extended time immediately. The Lender may not be able to accommodate the extension, in which case it is your responsibility to return the item(s) to the Lender within a time period suitable to the Lender. Otherwise, you will be liable to pay late fees, which will be double the rental charge for the period the item was late (“Late Fees”). You agree that Teik.it may debit this amount from your card or bank account without further authorisation.

      9.8 If you miss the agreed return deadline and fail to communicate with the Lender or Teik.it, or we have reason to believe that you have caused damage to the item, you agree that Teik.it may take a deposit from your account up to the full value of the items you have rented (“Deposit”). This deposit will be fully refundable, less any fees owed to the company or Lender, once the items are returned, replaced or repaired. Otherwise the deposit will not be returned.

       

      10. Fees and payment

      10.1 If you are a Lender, we will collect the Rental Fee from the User on your behalf. Unless we are unable to obtain payment from the User, for example if a buyer's payment method is declined or our payment provider determines that there is a risk of fraud, we will transfer the Rental Fee to you within 24 hours of the Rental Start Date. We will also charge you a fee equal to 20% of the Rental Fee (the "Lender Fee"), which we will deduct from the amount we transfer to you.

      10.2 If you are a User, once you have agreed to rent an item to the Lender, we will charge you the full rental fee on behalf of the Lender. In addition to the rental fee, we will also charge you an additional fee for using the secure payment service and taking advantage of the Teik.it Purchase Protection equal to 4.5% of the price you pay to the Lender for the rental of an item (” User commission ”).

      10.5 When you create your Account, you will provide us with valid, current and complete credit or debit card details. When you agree to borrow an item, you authorize us to charge such credit or debit card the relevant Rental Fee and User Fee and you hereby confirm that the details provided are accurate and that you are entitled to use the selected payment method.

      10.6 If we are unable to charge the rental fee, user fee, late fee, settlement fee or any other amount to your credit or debit card and we have not yet received payment, within 7 days of informing you, we will proceed as follows:

          • We will suspend all or part of your access to the Teik.it Service (without any liability to you). We will have no obligation to provide all or part of the Teik.it Service while the amount in question is unpaid. 

          • This does not affect any other rights and remedies available to us or the Lender under law.

          • If you charge a payment to a third party, instead of fulfilling it in accordance with the terms of the agreement entered into with the Lender through Teik.it, your account will be immediately suspended until the payment is refunded or the charge is canceled.

        11. Your Content

        11.1 You confirm that any images, text or information you upload to the Teik.it Service, including any reviews you post about other users or items (collectively, your “User Content”) will satisfy the Acceptable Use Rules.

        11.2 We do not claim ownership of your “User Content,” and ownership will remain with you and any third party whose content is included in your “User Content.” Instead, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, copy, reproduce, distribute, adapt, reformat, modify, publish, translate, license, sublicense and otherwise make available your “User Content” anywhere and in any form for the purpose of providing the Teik.it Service (including allowing users to whom you grant access to any “User Content” to view and use your “User Content”).

        11.3 You must ensure that you are able to grant us the above license for any third-party owned content that you include in your “User Content”.

        11.4 Our right to use your “User Content” does not affect your privacy rights in any way. Please see our Privacy Policy (https://www.teik.it/privacy-policy/) which provides information on how we use your personal information.

        11.5 We have the right to monitor any “User Content” and to refuse or remove any “User Content” if we believe it violates any of the Acceptable Use Rules.

         

        12. Rules of permitted use

        12.1 In addition to other requirements within these Terms and Conditions, this section describes specific rules that apply to your use of the Teik.it Service (the “Acceptable Use Rules”).

        12.2 When using the Teik.it Service it is not necessary to:

        (a) circumvent, disable, or otherwise interfere with any security-related features of the Teik.it Service;

        (b) provide false or misleading information, impersonate any person, or allow any other person to use the Teik.it Service under your name or on your behalf, unless such person is authorized by you;

        (c) use the Teik.it Service if we have suspended or prohibited your use;

        (d) advocate, promote, or engage in any illegal or unlawful conduct or conduct that causes theft, loss, damage, or injury to persons or property;

        (e) promote or advertise goods or services, other than the items that you, as a provider, make available for rental through the Teik.it Service;

        (f) send unsolicited marketing communications through the Teik.it Service;

        (g) modify, interfere with, intercept, disrupt or hack the Teik.it Service;

        (h) abuse the Teik.it service by knowingly introducing viruses, trojans, worms, logic bombs or other material that would damage any Teik.it service or any user of the Teik.it service's equipment 

        (i) collect data from the Teik.it Service in a manner other than as provided in these Terms and Conditions;

        (j) submit or contribute any “User Content” that contains nudity or violence or is abusive, threatening, obscene, misleading, false or offensive;

        (k) submit or contribute any “User Content” that you do not own or have the right to use, or otherwise violate the copyright, trademark, or other rights of any third party;

        (l) use the “User Content” in violation of any license terms specified by the owner;

        (m) in addition to leaving reviews of Lenders or articles, post or contribute any information or commentary about another person without that person's permission;

        (n) threaten, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person (including, but not limited to, other users and Teik.it employees);

        (o) use any automated system, including, without limitation, “robots,” “spiders,” or “offline readers,” to access the Teik.it Service in a manner that sends more request messages to the Teik.it Service than a human can reasonably produce in the same period of time;

        (p) enter into any agreement to lend or rent any item other than the Teik.it Platform with any other user you initially met through the Teik.it Service. Doing so is “Fee Avoidance” and you will be liable for double the fees avoided or a fine of €200,00 (whichever is greater) for each instance where you do so.

        12.3 Failure to comply with the Acceptable Use Rules constitutes a serious breach of these Terms and Conditions and may result in us taking all or any of the following actions (with or without notice):

        (a) immediate, temporary or permanent withdrawal of your right to use the Teik.it site or any other part of the Teik.it service;

        (b) immediate, temporary or permanent removal of any “User Content”;

        (c) sending a notice to you;

        (d) legal action against you, including proceedings for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;

        (e) disclosing such information to law enforcement authorities as we reasonably believe is necessary.

        12.4 The responses described in paragraph 12.3 are not limited and we may take any other action we reasonably deem appropriate.

         

        13. Notice and Removal Policy

        13.1 Anyone may contact us by sending us a notice (an “Infringement Notice”) if any content available through the Teik.it Service violates their rights. The Infringement Notice must be sent via email to info@teik.it. Please provide the following information in your infringement notice:

        (a) name and contact details;

        (b) a statement explaining in sufficient detail why you believe that the content available through the Teik.it Service violates your rights or does not comply with our Acceptable Use Policy;

        (c) a link or other means of identifying the problematic content.

        13.2 We will take such action as we deem appropriate based on the nature of the infringement notice and will aim to respond to you within a reasonable period of time regarding the action we propose to take.

         

        14. Resolution of disputes between User and Provider

        14.1 We encourage users to resolve any disputes directly. If, as a User, you have lost or damaged an item, you are required to immediately reimburse the Lender for the full value of the repair of the item (if possible) or its replacement.

        14.2 If you are a Lender, we may ask you to provide proof of purchase, photos of any damage caused to an item or any other evidence to support your claim for a refund from a Renter. Where you claim that a Renter has damaged an item, we may also ask you to provide photos of your item taken before it was provided to a Renter, to support your claim that any damage was caused by the Renter (and was not present at the start of the rental period).

        14.3 In the event that a User and a Lender are unable to resolve a dispute between them directly, they may ask us to mediate the dispute through a form of arbitration or assisted negotiation, to be assessed on a case-by-case basis. If we mediate a dispute, we will charge a fee equal to the costs of the proceedings that we, the Lender and the User will incur plus any compensation that will be determined to be payable by the User to compensate the Lender for any loss or damage to the item. We will charge this amount to the User in addition to any amount that the User is required to pay to the Lender (collectively known as the “Settlement Fee”). If Teik.it mediates the dispute through the above-specified forms of ADR (Alternative Dispute Resolution), you agree to accept Teik.it's conclusion and to pay any amount that Teik.it, through the form of ADR, determines you are liable for.

        14.4 If you owe Teik.it or another user money under the terms of these Terms of Service, you agree to pay the amount promptly and no later than 48 hours after the request. If you do not pay the money due within this time frame, Teik.it will charge your credit card for that amount. By accepting these Terms, you agree to allow us to do so and waive your right to charge back your bank for this transaction.

         

        15. Lender's Guarantee

        Our warranty covers accidental damage that renders the product unusable, such as a sudden breakdown. In these cases, we will repair or replace it. However, normal wear and tear, such as superficial scratches or dull blades, is not covered. Additionally, renters are responsible for damage caused by misuse, such as being hit or dropped, or loss of the item.

         

        • Damage caused by improper use: This includes damage due to improper use of the item, lack of maintenance or lack of expertise in using it.
        • Loss of item: If the item is lost or stolen due to your negligence (for example, if you forget it in a public place), you are responsible.

        In the event of loss or damage, we may request documentation to assess the situation and determine any liability.


        15.1 In the event that you are unable to recover the cost of repairing or replacing an item or the estimated value of the item, we may refund such amounts to you provided that you meet the criteria set out in the “Lender Guarantee”.

        15.2 If you are a Lender, if we agree to reimburse you under the Lender Guarantee, you must inform the User that any amounts owed to the Lender will now be owed to us.

        15.3 If you are a User, any payments we may make to the Lender under the Lender Guarantee will not affect your obligation to pay for items that are lost, stolen or damaged, but this obligation will be owed to us, rather than to the Lender.

        15.4 To be considered eligible, you must declare that you have never:

        • Have had any significant criminal convictions or charges in the last 5 years, excluding minor traffic violations.
        • Having been involved in bankruptcy or debt restructuring proceedings.
        • Had insurance policies cancelled, refused or made subject to special conditions.
        • Filed more than two insurance claims in the last 5 years.

        16. Termination of Use

        16.1 If at any time you do not feel that you can accept these Terms and Conditions or any changes made to these Terms and Conditions or the Teik.it Service, you must immediately stop using the Teik.it Service.

        16.2 Discontinuing your use of Teik.it may not close any Account you have created in connection with the Teik.it Service. You must inform us if you wish to close your account by contacting us, using the details and functionality on info@teik.it and we will terminate your use of the Teik.it service.

        16.3 We may immediately terminate your use of the Teik.it Service if you violate the Acceptable Use Rules, any other important rules, or the terms and conditions we establish for your access to and use of the Teik.it Service, including these Terms and Conditions.

        16.4 We may also withdraw any part of the Teik.it Service at any time and will notify you if we believe this will significantly affect your use of the Teik.it Service.

        16.5 If you or we terminate your use of the Teik.it Service or withdraw the Teik.it Service as described in this section, we may delete your User Content, any other information you have uploaded to the Teik.it Service, or any other information we hold about you. You will also lose all rights to use the Teik.it Service or access our content or your “User Content”. You should therefore ensure that you retain a copy of any information or content you use on the Teik.it Service, as well as your “User Content”, as we will not offer you compensation for any losses you may suffer if you lose your rights to access and use the Teik.it Service or any other information, content or “User Content”.

        16.6 Termination of your use of the Teik.it Service and cancellation of your Account will not affect any of your obligations to pay amounts owed to us.

        16.7 Nothing in this paragraph 16 affects any legal rights you may have under the law of the country in which you reside.

         

        17. Our responsibility to you

        17.1 We will always do our best to ensure that Teik.it is of reasonable standard and quality and corresponds to the description we have provided to you; at the moment the site is made using content owned by third parties who have developed it. Since we do not own or produce such third party content, if this content were to suddenly go missing we will do our best to resolve it effectively and efficiently.

        17.2 Furthermore, due to the nature of the Internet and technology, we are unable to promise that your use of the Teik.it Service will be uninterrupted, without delay, error-free or meet your expectations and we make no commitments regarding the performance or availability of the Teik.it Service in these Terms and Conditions and, to the extent we are able to do so, we exclude any commitments that may be implied by law.

        17.3 In the event of a claim arising from the provision of the Teik.it Service, our liability to you will never exceed the amount you have paid us in the 12 months preceding the claim and, in the event that you have not transferred money through our service, we will have no liability to you.

        17.4 In any event, we will never be liable for any loss or damage that is not reasonably foreseeable.

        17.5 Except with the written consent of Teik.it, it is forbidden to reproduce in whole or in part, distribute, publish, modify, publish, send or sell by any means part of the content of the site or the entire content.

        17.6 The above does not affect your rights under the applicable law of the country in which you reside, including our liability to you for any personal injury or death caused by our negligence.

         

        18. Dispute resolution with us

        18.1 If you have a dispute with us regarding the Teik.it Service, please first contact us at info@teik.it and attempt to resolve the dispute with us informally.

        18.2 In the unlikely event that we have not been able to resolve a dispute informally, we will discuss and agree with you the most effective way to resolve our dispute. If legal action is necessary, the competent court for disputes with users is the Court of Rome.

         

        19. Changes to the Teik.it Service

        19.1 We are constantly updating and improving the Teik.it Service to try to find ways to provide you with new and innovative features and services. Improvements and updates are also made to reflect changing technologies, tastes, behaviors and the way people use the Internet and the Teik.it Service.

        19.2 To do so, we may need to update, reset, stop offering and/or support a particular part of the Teik.it Service or a feature related to the Teik.it Service (“Teik.it Service Changes”). These Teik.it Service Changes may affect your past activities on the Teik.it Service, the features you use, your “User Content,” and any other information you submit to the Teik.it Service (“Service Elements”). Any Teik.it Service Changes may include the deletion or restoration of Service Elements.

        19.3 You agree that a key feature of the Teik.it Service is that changes to the Teik.it Service will take place over time and this is an important basis on which we grant you access to the Teik.it Service. Once we have made changes to any part of the Teik.it Service, your continued use of the Teik.it Service will demonstrate that you have accepted any changes to the Teik.it Service. You are always free to stop using the Teik.it Service.

        20. Changes to Documents

        20.1 We may revise these Terms and Conditions from time to time, but the most current version will always be available on this page.

        20.2 Changes will usually occur due to new features being added to the Teik.it Service, changes in the law, or where we need to clarify our position on something.

        20.3 We will usually try to notify you before new terms take effect. However, sometimes changes need to be made immediately and if this happens we will not give you any advance notice.

         

        21. Documents that apply to our relationship with you

        21.1 The current version of these Terms and Conditions contains the only terms and conditions that apply to our relationship with you.

        21.2 We intend to rely on these Terms and Conditions as setting out the written terms of our agreement with you for the provision of the Teik.it Service. If any part of these Terms and Conditions does not apply, the remainder of these Terms and Conditions will still apply to our relationship.

        21.3 If you fail to comply with these Terms and Conditions and we do not take action immediately, this does not mean that we have waived any rights we may have and may still take action in the future.

         

        22. Law

        22.1 Italian law will apply to all disputes and the interpretation of these Terms and Conditions. If we need to go to court to enforce any part of these Terms and Conditions against you or resolve any other dispute between us arising out of or in connection with your use of the Teik.it Service, we will initially seek a civil and amicable resolution before bringing the matter before the Italian courts. This does not affect your rights under the law of the country in which you reside, including the right to have a dispute in relation to your use of the Teik.it Service heard in the courts of that country.

         

        23. Contacts, feedback and complaints

        23.1 If you need to contact us in relation to these Terms and Conditions or any other document referred to in them, please send us an email at info@teik.it.

        23.2 We appreciate any comments and/or suggestions from our users and are always interested in learning about ways we can improve our services. By providing your feedback, you agree to waive any rights you have in your feedback so that we can use it and allow others to use it without any restriction and without any payment to you.
